These Terms & Conditions apply to your use of this website and to any work carried out by ASSISTED STARTUPS LTD. By using this website or engaging us, you agree to these terms. 2. Use of this website
You agree to use this website lawfully and in a way that does not damage, interrupt, or interfere with its operation or content.
You must not:
- misuse the website
- attempt unauthorised access
- copy or republish content without permission
- use the site in any unlawful or harmful way
3. Our work
Any scope of work, deliverables, timings, and responsibilities will be set out in a proposal, quotation, statement of work, or written agreement before work begins.
Unless otherwise agreed in writing, project work includes the review rounds stated in the relevant proposal.
4. Fees and payment
Fees and payment timings will be stated in your proposal or agreement.
Unless otherwise agreed:
- project work may require an upfront payment before work starts
- ongoing work may be billed in advance on a recurring basis
- overdue invoices may be subject to interest and recovery costs where permitted by law
5. Client responsibilities
To help us deliver work on time and to the required standard, you agree to provide:
- accurate information
- timely feedback and approvals
- access to relevant materials, accounts, and brand assets
- confirmation that any materials supplied by you may lawfully be used
Delays in feedback or approvals may affect delivery dates.
6. Intellectual property
Unless otherwise agreed in writing:
- all pre-existing rights, know-how, methods, and internal working approaches remain ours
- rights in final approved deliverables transfer to you only once all outstanding fees have been paid in full
- draft concepts, unused ideas, and working files remain our property unless expressly included
7. Confidentiality
Both parties agree to keep confidential information private and to use it only for the purpose of the working relationship, unless disclosure is required by law.
8. Data protection
Each party is responsible for meeting its own obligations under applicable data protection law.
Where personal data is handled, we will do so in line with our Privacy Policy.
9. Third-party providers
We may use carefully selected third parties to support parts of our work. Where we do, we remain responsible for the standard of delivery under our agreement with you.
10. Liability
We will not be responsible for indirect, special, or consequential loss, or for loss of profit, reputation, opportunity, or anticipated savings.
To the fullest extent permitted by law, our total liability in relation to any claim will not exceed the amount paid to us under the relevant agreement in the period stated in that agreement, or, if none is stated, in the three months before the claim arose. This aligns with the structure currently used on the live AssistedUp terms page.
Nothing in these terms excludes liability where it cannot legally be excluded.
11. Termination
Either party may end an agreement in line with the notice terms set out in the relevant proposal or written agreement.
We may pause or end work if:
- invoices remain unpaid
- required information is not provided
- there is a serious breach of the agreement
12. Force majeure
Neither party will be responsible for delay or failure caused by events beyond reasonable control.
13. Governing law
These terms are governed by the laws of England and Wales. Any dispute will be subject to the exclusive jurisdiction of the courts of England and Wales. This matches the governing law stated on the live AssistedUp terms page.
14. Changes to these terms
We may update these terms from time to time. Any updated version will be posted on this page with a revised date.
